1. INTRODUCTION

This Agreement, also referred to as the Affiliate Program Agreement, Affiliate Agreement, Terms and Conditions, or Affiliate Terms and Conditions, is established between Samra Host International Ltd, a private limited company based in Cyprus (“Samra Host”), and the Partner (also referred to as “You”, “Affiliate Partner”, “Affiliate”). This Agreement becomes effective upon electronic acceptance. By electronically accepting this Agreement, you acknowledge that you have read, understood, and agreed to be bound by its terms and conditions. It is important to note that the terms "we", "us", or "our" refer to Samra Host, while the terms "you", "your", "User", "customer", or "Affiliate" refer to any individual or entity accepting this Agreement. This Agreement incorporates Samra Host's Universal Terms Of Service Agreement by reference. Please be aware that Samra Host reserves the right to amend or modify this Agreement, along with any incorporated policies or agreements, at any time, with such changes becoming effective immediately upon posting on the Samra Host website. Your continued use of the Site or the Services after such changes signifies your acceptance of the revised Agreement. If you disagree with the revised terms, please refrain from using the Site or the Services. Additionally, Samra Host may notify you of changes or modifications to this Agreement via email. It is your responsibility to ensure that your account information, including your email address, is up to date. Failure to receive email notifications due to inaccurate or outdated email addresses is not the responsibility of Samra Host.

2. AFFILIATE PROGRAM PARTICIPATION

To enroll in the Affiliate Program, you must activate your affiliate program through the affiliate form on the Samra Host client area. All affiliate signups undergo review before acceptance. Applications deemed unsuitable for the Affiliate Program may be rejected for any reason.

3. YOUR OBLIGATIONS

As a Samra Host Affiliate, you commit to:

• Providing accurate and up-to-date account information. This includes contact details, payment information, tax details, URLs where Samra Host is promoted, traffic sources, promotional methods, and any other requested details. Failure to provide requested or accurate data may result in exclusion from the Affiliate Program, temporary suspension, or termination of your Affiliate account, leading to loss of Commissions.

• Referring clients in good standing, defined as those with active accounts that adhere to Samra Host's Terms of Service and are not flagged for high fraud risk.

• Refraining from actions or recommendations that may cause revenue loss for Samra Host.

• Avoiding marketing practices that attract clients not in good standing.

• Obtaining prior written approval from Samra Host before modifying, copying, or altering any promotional materials provided.

• Avoiding self-referral methods, including clicking on your affiliate links to make orders.

• Abstaining from engaging in blackhat SEO/spam link building techniques.

• Complying with all applicable laws.

• Acting in the best interests of Samra Host and maintaining its reputation.

• Not promoting violence or discrimination against any individual, organization, or governmental entity.

Samra Host reserves the right to suspend or terminate your Affiliate account and cancel all Commission payments due if violations of the Affiliate Program Agreement are detected.

If circumstances arise after joining the program that would have precluded Samra Host from entering into an agreement with the partner, Samra Host reserves the right to terminate the cooperation and withhold payment for previous periods.

4. AFFILIATE ADVERTISING

Only promotional materials approved by Samra Host may be used to advertise Samra Host on the Affiliate's Site. Approved materials may include trademarks, service marks, logos, and slogans provided in your Affiliate Area. Upon agreement, you are granted a non-exclusive, limited, and non-transferable license to use approved promotional materials solely for promoting websites owned by Samra Host.

If the Affiliate Agreement is terminated, your license to use approved promotional materials will be automatically withdrawn.

Inappropriate advertising methods include, but are not limited to:

• Utilizing illegal or spam advertising methods, such as unsolicited email or unauthorized link placement in forums or message boards.

• Bidding on keywords containing Samra Host trademarks without prior approval.

• Using non-unique, copyright-infringing content to promote Samra Host.

• Generating traffic through prohibited means like pay-to-read or pay-to-click schemes.

• Offering unauthorized incentives, price savings, or cashbacks to drive sales.

• Employing techniques that negatively affect Samra Host's image.

• Using link cloaking or masking to promote Samra Host on undisclosed websites or networks.

• Hosting objectionable content on your website(s), including but not limited to adult content, hate speech, or illegal material.

• Using domain names, company names, or trademarks that infringe on Samra Host's intellectual property rights.

Samra Host reserves the right to determine the appropriateness of advertising methods. Inappropriate methods may result in warning, suspension, or termination of your affiliate account, along with cancellation of outstanding Commission payments.

5. AFFILIATE TRACKING

Affiliate sales are automatically tracked using cookies, which are placed in users' browsers upon clicking on affiliate links. Each cookie is stored for up to 30 days. If a user already has an existing affiliate cookie, it will be overwritten by the new one. Samra Host is not responsible for intentional deletion of cookies by users.

6. AFFILIATE COMMISSIONS

Commissions for sales of Samra Host services are calculated as a percentage defined for each service. One-month hosting plan sales are not eligible for Commission. With Revenue Share offers, the maximum Commission for a single sale is 30%. Commissions exclude taxes, fees, additional services, and domain prices. Any disagreements regarding Commission calculations must be communicated to affiliates@https://samrahost.com within 30 days. Commissions are not credited for canceled or refunded purchases within 45 days. Samra Host reserves the right to review transactions for fraud and withhold payment for up to 180 days during investigation.

Commissions older than 2 years and not withdrawn will be removed from your affiliate account balance.

7. INVOICING

Commission statements are provided in your Affiliate Area at the beginning of each month. Payout requests must be submitted via email by the end of the previous month. Payouts are released by the 20th of the current month. A minimum of 3 conversions is required for payout, and the minimum withdrawal amount is $ or as per payment method terms.

8. RELATIONSHIP OF PARTIES

The Affiliate and Samra Host acknowledge that they enter this Agreement as independent contractors, creating no partnership, agency, joint venture, or employment relationship. The Affiliate has no authority to make representations or offers on behalf of Samra Host.

9. ACCOUNT TERMINATION

You may cancel and terminate your affiliate account at any time by contacting us through the Affiliate Area. Samra Host may terminate an affiliate account with a seven-day notice or immediately for violations of the Affiliate Program Terms and Conditions. Upon termination, associated sales will no longer be tracked, and future Commissions will be forfeited.

Inactive accounts with no conversions for six months may be parked as dormant. Termination due to violation incurs a $125 administrative fee. Upon termination, all promotional materials related to Samra Host must be removed from your website within 3 business days.

10. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of each other's information disclosed during this Agreement. Confidential Information must be handled with care and used only for the purpose outlined in this Agreement.

11. GOVERNING LAW

Any disputes arising under this Agreement will be governed by the jurisdiction and legislation where the Samra Host entity servicing your Affiliate account is located.

12. CHANGES TO TERMS

Samra Host reserves the right to amend this Affiliate Agreement at any time, with changes becoming effective immediately upon posting on the Samra Host website. If you disagree with amendments, you have 10 business days to cancel your account. Only official Samra Host officers have the authority to make amendments.
